At PerkinElmer, we are undergoing a once-in-a-lifetime transformation process that will enable all our businesses to better serve our valued customers.

About the Transformation

On August 1, 2022, the company announced that it had entered an agreement with New Mountain Capital with the intention to divest its Analytical and Enterprise Solutions businesses, which, upon completion, will result in the creation of excellent opportunities for growth and strategic advancement across two strong standalone companies:

  • A high-growth Life Sciences and Diagnostics business that will eventually operate with a new name, brand, and ticker symbol, focused on driving advanced research and discovery and improving global health.
  • An Analytical and Enterprise Solutions business, including the leading OneSource laboratory and field services, that will see its full potential released. This business will retain the PerkinElmer name and brand as a standalone, privately held subsidiary of New Mountain Capital.

The primary objective of this transformation is to provide all our customers with a second-to-none customer experience, solutions resulting from more focused visions, and exclusively dedicated resources and investments.

We expect to close the transaction in the first quarter of 2023.

What is changing, and how does it impact our customers?

While we are working diligently in the background to close the agreement in the upcoming months, we are also fully committed to maintaining our business continuity. As a result, our customers should not experience any disruption in our service.

Changes to expect as we transform

  • Legal entity changes
  • As we make progress on our transformation process, we anticipate being able to share details related to updating information about us as a supplier or vendor in your accounts payable systems, provide guidance on the handling of open purchase orders and partially shipped orders, and inform you on the impact to invoicing post deal close for active purchase orders. We are working to ensure a smooth transition and will provide additional details as they become available in early 2023, in advance of closing.

  • We are committed to continue to deliver the world-class service that you expect from PerkinElmer. As such, we will inform customers of any contractual changes, including details concerning applicable transition of contracts and service support in early 2023, in advance of deal close.

Frequently asked questions

  • No, there will not be any impact. Customers may continue to buy either Life Science and Diagnostics or Analytical and Enterprise Solutions products on the website in the same countries they have been previously offered with no disruption to the buying experience. The customer's login will remain the same and there will be no need for the customer to re-register. Customers purchasing Analytical and Enterprise Solutions products on the website will be notified and reminded throughout the ordering experience to create the new Analytical and Enterprise Solutions vendor record in their system for billing and payment purposes. There is no change to the PerkinElmer vendor record for customers buying Life Science and Diagnostics products on the website. A list of vendor records for both companies will soon be available on the website for reference.

  • No, there will not be any impact. Customers buying Life Sciences and Diagnostics products via eProcurement should not experience any change as the PerkinElmer vendor record remains the same. Upon deal close, customers buying Analytical and Enterprise Solutions products via eProcurement will be provided with the new vendor information, asked to create a new vendor record, and initiate a new relationship on their platform. Once the customer establishes the relationship, the global eCommerce team will work with the customer to complete the eProcurement setup.

  • As we continue to make substantial progress on our transformation process, we will provide the applicable information to update account payable systems and guide you on the handling of open purchase orders, invoicing, and contract transitions, where applicable. We are working to ensure a smooth transition and will provide additional details as they become available in early 2023, in advance of the deal close.

  • We are committed to continue to deliver the world-class service that you expect from PerkinElmer and are working diligently to support a smooth transition. As such, we will be engaging customers through multiple channels and touchpoints along this journey, including this hub, an emailed newsletter, and where applicable, by phone or in-person. We will inform customers about any administrative changes needed as part of the transition, in early 2023, in advance of the deal close.
