Corporate Governance

Sound corporate governance is another crucial element of PerkinElmer's guiding business philosophy. In overseeing the management of our business and protecting the financial interests of its shareholders, the PerkinElmer Board of Directors follows the procedures and principles set forth in our Corporate Governance Guidelines.

In doing so, the Board of Directors helps set and maintain standards for our employees, officers and directors.

Compliance

Our Compliance Committee monitors our company-wide adherence to laws, regulations and internal policies. To do so, the committee, which is comprised of senior PerkinElmer personnel, receives regular reports from a diverse group of representatives from our major areas of compliance focus, including Health and Safety, Human Resources, Insurance/Risk Management, FDA/Quality and more. It then contributes to PerkinElmer's overall compliance program, advocating training opportunities, budget requests and other risk-reducing initiatives to ensure our program is well communicated and supportive of lawful and ethical business practices.

Standards of Business Conduct

As part of our commitment, PerkinElmer provides Business Conduct training and distributes Standards of Business Conduct to all employees, who are expected to follow both the spirit and the letter of the law.

To satisfy our customers, PerkinElmer will provide superior customer value through on-time delivery of the right products and services of the highest quality in compliance with global regulatory requirements.

Depending on the nature of products and services, most of our facilities and businesses have been appropriately certified to ISO 9001, ISO 13485, AS 9100 and others to meet relevant ISO and regulatory requirements for quality management.

Environmental Health & Safety (EHS)

PerkinElmer is committed to protecting the health and safety of our employees, customers, communities, and the environment. We accomplish this by maintaining a safe and healthy operating environment at all of our sites and by developing products and services that support human and environmental health programs. We strive to minimize the environmental impact of our products and operations and support reducing resource consumption and impact on the global climate through education and integrated programs, processes, and practices.

We maintain an integrated and systematic approach for managing and operating our facilities in a manner that protects the environment, employees, and the public. We are committed to reducing the overall environmental impact of our operations by sharing best practices across our operations, through performance monitoring, by auditing, and through periodic management reviews.

Many of our facilities are certified to the International Organization of Standardization (ISO) 14001 and Occupational Health and Safety Assessment Series (OHSAS) 18000 standards.

We assess and manage product and operational risks on a case-by-case basis, integrating environmental, health and safety considerations into our product design and development processes.

RoHS

As a manufacturer and supplier of electrical and electronic equipment, we make products that are subject to regulatory restrictions such as the European Union directives on Restriction of the Use of Certain Hazardous Substances in Electrical and Electronic Equipment (ROHS) and Waste Electrical and Electronic Equipment (WEEE). We continuously monitor these and other regulatory developments to ensure that our products are compliant with applicable regulations.
